Terms of Service
For Metricform.ai, Snowball, Quickmetric, and Metri the AI Analyst
Effective Date: March 17, 2026
These Terms of Service (the “Terms”) govern access to and use of the Metricform websites located at www.metricform.ai and beta.metricform.ai, and any related websites, software, applications, APIs, tools, dashboards, models, content generation features, beta offerings, and services made available by Metricform under the brands Metricform, Snowball, Quickmetric, and Metri the AI Analyst (collectively, the “Services”).
By creating an account, signing in with Google, clicking to accept these Terms, submitting an order form, or accessing or using any part of the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company, organization, agency, or other entity, you represent that you are authorized to bind that entity, and “you” includes both you and that entity.
If you do not agree to these Terms, do not use the Services.
1. Overview
These Terms are intended for a U.S.-based AI SaaS product serving individual, consumer, agency, and business users. They apply to users of the Services made available through Metricform, including www.metricform.ai, beta.metricform.ai, Snowball, Quickmetric, and Metri the AI Analyst, and apply to:
- visitors browsing the Metricform websites;
- users creating accounts directly or through Google OAuth;
- free users, paying subscribers, and trial users across any available plan or product tier;
- users of pre-release, pilot, or experimental features made available through beta.metricform.ai or otherwise designated by Metricform as beta, preview, early access, or test features; and
- individuals using the Services for personal use, and personnel of agencies, companies, and other organizations using the Services on behalf of their organizations.
2. Key Terms

| User Content | Information, prompts, files, datasets, text, images, inputs, instructions, and other materials submitted to the Services by or for you. |
| Output | Content, analyses, recommendations, summaries, transformations, or other materials generated by the Services in response to User Content. |
| Beta Services | Any pre-release, experimental, preview, or evaluation feature or environment, including features made available through beta.metricform.ai. |
| Subscription | A paid or trial plan, tier, seat allocation, or other commercial offering governing access to some or all features of the Services. |
3. Eligibility
To use the Services, you represent and warrant that:
- you are at least 18 years old, or the age of majority in your jurisdiction, whichever is higher;
- you are legally capable of entering into a binding agreement;
- you are not barred from using the Services under applicable law;
- your registration information is accurate and complete; and
- if you use the Services on behalf of a business, agency, or organization, you have authority to bind that business, agency, or organization to these Terms.
The Services are not directed to children, and you may not use the Services if you are under 18.
4. Account Registration and Google Sign-In
4.1 Account Creation
You may access certain features only by creating an Account. You agree to provide accurate, current, and complete information and to keep that information updated. Product tiers or Workspaces may have different account requirements, user limits, or administrative controls.
4.2 Google OAuth Authentication
Metricform may allow you to register for, sign up for, or sign in to the Services using Google OAuth or other third-party authentication providers. If you choose Google sign-in:
- you authorize Metricform to receive certain account information from Google, such as your name, email address, profile identifier, and profile image, subject to your Google settings and permissions;
- you acknowledge that your use of Google sign-in is also subject to Google's applicable terms and privacy practices; and
- you are responsible for ensuring that your Google account remains secure and accessible.
Metricform does not control third-party authentication providers and is not responsible for outages, changes, suspensions, or other acts or omissions of those providers.
4.3 Business Domain Accounts
If you register using an email address owned by an employer, agency, or organization, that organization may be able to control your Account, add it to a Workspace, or access associated workspace data, subject to applicable law and internal organizational policies.
5. Account Security
You are responsible for:
- safeguarding your login credentials;
- maintaining the confidentiality of your Account;
- all activity occurring under your Account, whether or not authorized by you; and
- notifying Metricform promptly of any suspected unauthorized access, credential compromise, or security incident involving your Account.
You may not:
- share your Account with unauthorized users;
- allow multiple users to access the Services through credentials intended for a single user;
- circumvent access restrictions, seat limits, or usage controls; or
- impersonate another person or entity.
Metricform may require additional verification, suspend access, or take protective action if it reasonably suspects fraud, misuse, or a security risk.
6. License to Use the Services
Subject to your compliance with these Terms, Metricform grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use Services for your internal personal, internal business, or internal agency purposes during the applicable Subscription or permitted access period.
This license does not grant you any ownership rights in the Services or any Metricform intellectual property.
7. Acceptable Use
You may not use the Services, or permit others to use the Services, to:
- violate any law, regulation, or third-party right;
- infringe, misappropriate, or otherwise violate intellectual property, privacy, publicity, confidentiality, or contractual rights;
- upload or submit unlawful, defamatory, harassing, hateful, discriminatory, fraudulent, deceptive, obscene, or abusive material;
- generate, promote, or distribute malware, spyware, phishing content, malicious code, or harmful instructions;
- attempt unauthorized access to any system, network, account, or data;
- probe, scan, test, or breach the security or integrity of the Services without prior written authorization;
- scrape, harvest, copy, extract, or systematically collect data or Output from the Services by automated means except as expressly permitted by Metricform;
- reverse engineer, decompile, disassemble, decode, or attempt to discover the source code, underlying models, prompts, or non-public components of the Services, except to the extent such restriction is prohibited by law;
- interfere with or disrupt the Services, including bypassing rate limits, access controls, or protective technical measures;
- use the Services to develop, benchmark, train, or improve a competing product or model, except where expressly permitted in writing;
- submit personal data, confidential data, regulated data, or sensitive information unless you have all rights and consents necessary and the Services are appropriate for that use case;
- create or distribute misleading, false, or deceptive AI-generated content without appropriate human review or disclosure where required;
- use the Services for spam, mass unsolicited outreach, manipulative engagement, or deceptive marketing;
- use the Services to make fully automated decisions in high-risk contexts without appropriate human oversight; or
- use Beta Services in production, mission-critical, or high-risk workflows where errors, downtime, or data loss could cause material harm.
Metricform may investigate suspected misuse and may remove content, suspend access, or take other action it reasonably deems appropriate.
8. User Content
8.1 Your Responsibility for User Content
You retain responsibility for all User Content you submit to the Services. You represent and warrant that:
- you own or control all rights necessary to submit and use the User Content with the Services;
- your User Content and use of it with the Services will not violate these Terms, applicable law, or third-party rights; and
- you have obtained all necessary notices, consents, and permissions for any personal data or third-party materials included in User Content.
8.2 License to Metricform
You grant Metricform a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, modify, and otherwise use User Content as necessary to:
- provide, maintain, secure, and improve the Services;
- generate Output;
- prevent fraud, abuse, and security incidents;
- comply with law; and
- enforce these Terms.
Except as described in these Terms, Metricform does not claim ownership of your User Content. Where Metricform processes personal data on your behalf as a processor or service provider, that processing is also subject to any applicable Data Processing Addendum referenced in Section 16.
9. AI-Generated Output
9.1 Nature of Output
The Services may use machine learning, automation, and generative AI technologies to produce Output. You acknowledge that Output may:
- be inaccurate, incomplete, outdated, biased, or unsuitable for your intended purpose;
- resemble or be similar to content generated for other users;
- require human review, editing, and validation; and
- not be protectable by intellectual property law in all jurisdictions or contexts.
9.2 Your Use of Output
As between you and Metricform, and subject to your compliance with these Terms and any third-party rights, Metricform assigns to you any rights it may have in Output generated specifically for your lawful use of the Services.
This assignment does not apply to:
- Metricform technology, models, software, workflows, templates, interfaces, or underlying systems;
- third-party materials or third-party rights embedded in or reflected by Output;
- public domain material; or
- content generated in violation of these Terms.
You are solely responsible for reviewing and determining whether any Output is accurate, lawful, usable, non-infringing, and appropriate before relying on, publishing, sharing, or acting on it.
9.3 No Professional Advice
Output is provided for informational and productivity purposes only and does not constitute legal, financial, tax, medical, employment, compliance, or other professional advice. You should obtain qualified professional advice before making decisions with legal, financial, regulatory, or other material consequences.
10. Metricform Intellectual Property
The Services, including all software, interfaces, designs, workflows, prompts, documentation, trademarks, logos, service marks, trade names, product names, text, graphics, audiovisual content, compilations, and all related intellectual property rights, are owned by Metricform or its licensors and are protected by applicable intellectual property and other laws.
Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
You may not use Metricform's name, logo, trademarks, or branding, or the names, logos, trademarks, or branding of Snowball, Quickmetric, or Metri the AI Analyst, without Metricform's prior written consent, except for truthful, nominative references permitted by law.
11. Feedback
If you provide ideas, suggestions, recommendations, corrections, enhancement requests, or other feedback regarding the Services (“Feedback”), you grant Metricform a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid, sublicensable right to use, reproduce, modify, distribute, and otherwise exploit that Feedback for any lawful purpose without restriction or obligation to you.
12. Subscriptions, Billing, and Payment
12.1 Paid Plans
Some features may require a paid Subscription. Subscription details, plan features, product tiers, seat limits, usage limits, renewal cadence, and pricing will be presented at the time of purchase, in-product, or in an applicable order form.
12.2 Auto-Renewal
Unless otherwise stated in writing, paid Subscriptions renew automatically for the same subscription term unless canceled before the renewal date. By purchasing a Subscription, you authorize Metricform or its payment processor to charge the applicable fees, taxes, and other charges on a recurring basis.
12.3 Fees and Taxes
You agree to pay all fees and applicable taxes associated with your use of the Services. Fees are stated in U.S. dollars unless otherwise specified. Except where required by law, all payments are non-refundable. You are responsible for any sales, use, excise, value-added, goods and services, withholding, or similar taxes payable in connection with your purchase or use of the Services, excluding taxes based on Metricform's net income.
12.4 Trials and Promotional Access
Metricform may offer free trials, credits, pilot access, or promotional pricing. Metricform may modify or terminate such offers at any time, subject to applicable law. At the end of a trial, your paid Subscription may begin automatically if disclosed when you enroll and unless you cancel before the trial ends.
12.5 Changes to Pricing
Metricform may change its pricing, plan structure, or billable metrics prospectively. For active subscriptions, changes will take effect at the next renewal term unless otherwise disclosed or agreed.
12.6 Suspension for Nonpayment
Metricform may suspend or limit access to paid features if fees are overdue. Late payments may accrue interest to the maximum extent permitted by law.
12.7 Seats, Workspace Administration, and Plan Limits
If your Subscription includes multiple seats, users, Workspaces, or organization-level features, you are responsible for assigning access only to authorized users and for complying with any applicable seat, user, usage, storage, or feature limits. Workspace administrators may purchase, manage, reassign, or remove seats and may access administrative information associated with the applicable Workspace.
13. Consumer Cancellation and Refund Principles
If you are a consumer, you may have cancellation or refund rights under applicable law that cannot be waived by these Terms. Nothing in these Terms limits any non-waivable rights you may have.
Unless otherwise required by law or expressly stated by Metricform in writing:
- subscriptions are billed in advance;
- payments are non-refundable;
- partial billing periods are not prorated upon cancellation; and
- canceling a Subscription prevents future renewals but does not entitle you to a refund for the current term.
14. Beta Services
14.1 Scope
Features offered through beta.metricform.ai or otherwise labeled beta, preview, pilot, test, experimental, or early access are Beta Services.
14.2 Special Conditions
Beta Services are provided for evaluation and testing purposes and may:
- be incomplete, unstable, or contain errors;
- change materially at any time;
- be interrupted or discontinued without notice;
- have reduced security, support, documentation, or availability; and
- be subject to additional limits, eligibility criteria, or feature restrictions.
14.3 No Reliance
You should not rely on Beta Services for production, high-risk, or business-critical use. Metricform has no obligation to continue, release, or commercially support any Beta Service.
14.4 Feedback and Testing Data
Metricform may use information about your use of Beta Services, including technical logs, performance data, and feedback, to evaluate, improve, and develop the Services, subject to applicable law and Metricform's Privacy Policy.
15. Third-Party Services and Integrations
The Services may interoperate with or link to third-party services, software, websites, authentication providers, cloud services, data providers, plugins, or integrations. Metricform does not control and is not responsible for third-party offerings, including their availability, security, accuracy, legality, or privacy practices.
Your use of third-party services may be subject to separate terms between you and the third party. Metricform is not liable for third-party acts or omissions.
16. Privacy and Data Handling
Your use of the Services is also subject to the Metricform Privacy Policy and, where applicable, any separate Data Processing Addendum, order form, or other written data-processing terms entered into with Metricform. The Privacy Policy describes how Metricform processes personal data for its own purposes, and the Data Processing Addendum applies where Metricform processes personal data on behalf of eligible business customers as a processor or service provider.
You acknowledge that:
- internet transmissions are never completely secure;
- you should not submit highly sensitive, regulated, or mission-critical data unless expressly supported by Metricform for that purpose; and
- Metricform may process Account information, authentication data, including Google sign-in information, service usage information, cookies or similar technologies, and User Content as described in its Privacy Policy.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, INCLUDING ALL OUTPUT, BETA SERVICES, CONTENT, AND RELATED FEATURES, ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
METRICFORM AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Without limiting the foregoing, Metricform does not warrant that:
- Output will be accurate, unique, lawful, or suitable for your use case;
- the Services will meet your needs or expectations;
- defects will be corrected; or
- Beta Services will ever become generally available.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL METRICFORM, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR EXPECTED SAVINGS; INTERRUPTION OF BUSINESS; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM OR RELATED TO OUTPUT, THIRD-PARTY SERVICES, OR BETA SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRICFORM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PAID TO METRICFORM FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (2) ONE HUNDRED U.S. DOLLARS (US$100).
19. Indemnification
You agree to defend, indemnify, and hold harmless Metricform and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any third-party claims, actions, proceedings, damages, liabilities, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your User Content, your Output or use of Output, your violation of these Terms, your violation of applicable law, or your infringement or misappropriation of any third-party right.
20. Suspension and Termination
20.1 By You
You may stop using the Services at any time. You may cancel your Account or Subscription through your account settings, if available, or by contacting Metricform.
20.2 By Metricform
Metricform may suspend, restrict, or terminate your access to some or all of the Services, with or without notice, if Metricform reasonably believes you violated these Terms, your use poses a security or legal risk, your use could harm Metricform or others, payment is overdue, you are using Beta Services in an unauthorized or high-risk manner, or suspension or termination is required by law.
20.3 Effect of Termination
Upon termination:
- your right to access and use the Services ends immediately;
- Metricform may deactivate or delete your Account and related data in accordance with its retention practices and applicable law;
- any accrued payment obligations remain due; and
- Sections that by their nature should survive will survive, including provisions concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and governing law.
21. Service Changes
Metricform may modify, update, discontinue, or remove any feature, functionality, integration, or portion of the Services at any time. Metricform is not obligated to maintain any particular feature or make any future release available, including any Beta Service.
22. Governing Law and Dispute Resolution
22.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Delaware, without regard to its conflict of laws principles, except to the extent superseded by U.S. federal law.
22.2 Informal Resolution
Before filing a claim, each party agrees to attempt to resolve the dispute informally by providing written notice describing the issue and the requested relief. The parties will attempt in good faith to resolve the dispute within 30 days after notice is received.
22.3 Arbitration
Except for the exclusions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. Unless the parties agree otherwise, arbitration will be conducted in English and will take place in Delaware, or remotely if permitted by the arbitrator.
22.4 Exceptions
Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction for actual or threatened intellectual property infringement, unauthorized access to the Services, or breach of confidentiality or data security obligations.
22.5 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND METRICFORM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION OR PROCEEDING.
22.6 Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND METRICFORM WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE PERMITTED TO BE LITIGATED IN COURT.
23. Export Compliance and Sanctions
You may not use, export, re-export, or transfer the Services except as authorized by U.S. law and other applicable laws. You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. embargoes; you are not listed on any U.S. government restricted-party list; and you will not use the Services in violation of export control or sanctions laws.
24. Miscellaneous
24.1 Entire Agreement
These Terms, together with any applicable order form, subscription terms, Beta terms, Privacy Policy, Data Processing Addendum, and any incorporated policies, constitute the entire agreement between you and Metricform regarding the Services, unless you and Metricform have entered into a separate written agreement that governs your use.
24.2 Order of Precedence
If there is a conflict between these Terms and a signed written agreement between you and Metricform, the signed written agreement controls to the extent of the conflict. If there is a conflict between these Terms and any Beta-specific terms, the Beta-specific terms control for the relevant Beta Services. If there is a conflict between these Terms and an applicable Data Processing Addendum, the Data Processing Addendum controls solely with respect to the processing of personal data covered by that Data Processing Addendum.
24.3 Severability
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.
24.4 Waiver
A failure or delay by Metricform to enforce any provision of these Terms is not a waiver of its right to do so later.
24.5 Assignment
You may not assign or transfer these Terms or any rights or obligations under them without Metricform's prior written consent. Metricform may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law.
24.6 Force Majeure
Metricform is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, internet or telecommunications failures, labor disputes, civil unrest, war, terrorism, governmental action, utility failures, or service provider outages.
24.7 Electronic Communications
You agree that Metricform may provide notices, disclosures, and other communications electronically, including through the Services, by email, or by posting them on the website.
24.8 Independent Contractors
The parties are independent contractors. These Terms do not create any partnership, franchise, joint venture, fiduciary, employment, or agency relationship between you and Metricform.
25. Changes to These Terms
Metricform may update these Terms from time to time. If Metricform makes material changes, it will provide notice by posting the revised Terms on the website, updating the Effective Date above, or by other reasonable means.
Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
